1. Definitions

"Agreement" refers to these Terms and Conditions together with any engagement letter or service contract entered into between Northstar Group and the Client. "Client" or "You" refers to any individual or entity that engages our services or uses our website. "Services" refers to the business consulting services offered by Northstar Group, including but not limited to corporate strategy, performance improvement, and stakeholder communication advisory. "We," "Us," or "Our" refers to Northstar Group. "Website" refers to our website accessible at northstarens.info.
2. Acceptance of Terms
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.
You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are entering into this Agreement on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
3. Description of Services
Northstar Group provides professional business consulting services to organisations in Hong Kong and the Asia-Pacific region. Our services include corporate strategy development, operational performance improvement, and stakeholder communication advisory.
The specific scope, deliverables, timeline, and fees for any engagement will be detailed in a separate engagement letter or service agreement. These Terms and Conditions apply to all services unless expressly modified in writing.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to affected clients where practicable.
4. Client Responsibilities
As a client, you agree to provide accurate, complete, and timely information necessary for us to perform the agreed services. You acknowledge that the quality of our deliverables depends in part on the information and cooperation you provide.
You agree to designate appropriate personnel to work with our team and to make decisions in a timely manner to avoid delays in project timelines. You will not use our services for any unlawful purpose or in violation of any applicable laws or regulations.
You are responsible for implementing any recommendations we provide. We offer guidance and analysis, but final decisions and their outcomes remain your responsibility.
5. Intellectual Property
All intellectual property rights in our methodologies, frameworks, tools, templates, and other materials developed independently of client engagements remain the property of Northstar Group. We grant clients a limited, non-exclusive licence to use deliverables created specifically for their engagement for internal business purposes.
You may not reproduce, distribute, modify, or create derivative works from our proprietary materials without our prior written consent. Any pre-existing intellectual property you provide to us remains your property.
The content on our website, including text, graphics, logos, and design, is protected by copyright and other intellectual property laws. You may not copy, reproduce, or distribute this content without our permission.
6. Fees and Payment
Fees for our services will be set forth in individual engagement letters or service agreements. Unless otherwise specified, fees are quoted in Hong Kong Dollars (HKD) and are exclusive of any applicable taxes.
Payment terms, including deposit requirements and payment schedules, will be detailed in the relevant engagement documentation. Invoices are typically due within 14 days of issuance unless otherwise agreed.
We reserve the right to suspend services if payment is not received when due. Late payments may be subject to interest at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act or as otherwise agreed.
7. Confidentiality
Both parties agree to maintain the confidentiality of information designated as confidential or that would reasonably be understood to be confidential given its nature. This includes business strategies, financial information, client data, and proprietary methodologies.
Confidential information may only be disclosed to employees or advisers who need to know such information for the purposes of the engagement and who are bound by confidentiality obligations. Confidentiality obligations survive the termination of any engagement.
8. Disclaimers
Our services are provided on an "as is" and "as available" basis. While we strive to provide high-quality advice and deliverables, we do not warrant that our services will meet your specific requirements or achieve particular outcomes.
The information and recommendations we provide are based on the information available to us at the time and our professional judgment. Business outcomes are influenced by many factors beyond our control, and we cannot guarantee specific results.
Our services do not constitute legal, tax, or accounting advice. We recommend that you consult qualified professionals for advice in these areas as needed.
9. Limitation of Liability
To the maximum extent permitted by law, Northstar Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including lost profits, loss of data, or business interruption.
Our total liability for any claims arising from an engagement shall not exceed the fees paid by you for the specific services giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.
10. Indemnification
You agree to indemnify, defend, and hold harmless Northstar Group and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your breach of these Terms and Conditions, your violation of any applicable laws, or your misuse of our services or deliverables.
11. Termination
Either party may terminate an engagement by providing written notice as specified in the relevant engagement letter. In the absence of specific provisions, 30 days' written notice is required for termination without cause.
Either party may terminate immediately if the other party materially breaches these terms or the engagement agreement and fails to remedy such breach within 14 days of receiving written notice.
Upon termination, you shall pay all fees for services rendered up to the date of termination. Provisions relating to confidentiality, intellectual property, limitation of liability, and indemnification shall survive termination.
12. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
Any disputes arising out of or in connection with these terms shall first be addressed through good faith negotiations between the parties. If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to mediation administered by the Hong Kong International Arbitration Centre.
If mediation is unsuccessful, the dispute shall be finally resolved by arbitration in Hong Kong in accordance with the HKIAC Administered Arbitration Rules then in force. The language of arbitration shall be English.
13. General Provisions
These Terms and Conditions, together with any applicable engagement letter, constitute the entire agreement between you and Northstar Group regarding the subject matter hereof. Any prior agreements or understandings are superseded.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to any successor entity or affiliate.
14. Changes to Terms
We may update these Terms and Conditions from time to time. We will post the revised terms on this page with an updated effective date. Your continued use of our website or services after any changes constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
